Terms and Conditions

These Terms and Conditions (“Terms”) govern access to and use of AmeegoMarket.com, including the AmeegoMarket marketplace, GroupBuy functionality, Instant Buy functionality and related services.

AmeegoMarket.com is operated by AmeegoMarket Ltd, a company registered in the United Kingdom (“AmeegoMarket”, “we”, “us” or “our”).

By registering for an account, creating or purchasing an Offer, joining a GroupBuy, using Instant Buy, or otherwise using the Marketplace, you agree to these Terms.

These Terms are intended primarily for business-to-business transactions. Users purchasing through the Marketplace must act for purposes relating to their trade, business, craft or profession unless AmeegoMarket expressly permits otherwise.

1. ABOUT AMEEGOMARKET

AmeegoMarket operates a B2B wholesale marketplace connecting Sellers of wholesale goods with business Buyers.

The Marketplace enables:

  • Sellers to create wholesale Offers;
  • Buyers to participate collectively in GroupBuys;
  • Buyers to purchase one or more available box-size;
  • multiple Buyers to collectively satisfy a Seller’s required Volume Size;
  • Buyers to purchase the complete Volume Size through Instant Buy where available; and
  • Sellers to arrange and fulfil delivery according to the terms of their Offer.

Unless expressly stated otherwise, AmeegoMarket acts as the marketplace operator and technology provider facilitating transactions between Buyers and Sellers.

The Seller remains responsible for the goods it offers, the accuracy of its Offer, legal compliance, stock, fulfilment, delivery and any Seller warranties or representations.

2. BUSINESS ACCOUNTS

Users must provide accurate, complete and current information when registering.

AmeegoMarket may request information reasonably required to verify:

  • business identity;
  • company registration;
  • trading name;
  • business address;
  • authorised representatives;
  • payment information;
  • Seller identity;
  • beneficial ownership;
  • payout eligibility; or
  • other information required by AmeegoMarket or its payment providers.

AmeegoMarket may refuse, suspend or terminate an account where verification cannot be completed or where we reasonably suspect fraud, unlawful activity, misuse of the Marketplace or a breach of these Terms.

Users are responsible for maintaining the security of their accounts and credentials.

3. BUYER COMMITMENTS

Joining a GroupBuy constitutes a commitment by the Buyer to purchase the selected boxes if the GroupBuy successfully completes.

A Buyer should therefore only join a GroupBuy where it intends and is able to complete the purchase.

The Buyer authorises AmeegoMarket and its payment provider to perform the payment steps necessary to process that commitment in accordance with the payment method selected at checkout.

A Buyer must ensure that its selected payment method remains valid and capable of completing payment during the GroupBuy lifecycle.

4. PAYMENT AUTHORISATION

AmeegoMarket may use a payment provider that supports payment authorisation followed by later capture.

Where this method is used, joining a GroupBuy may result in the Buyer’s payment method being authorised without the payment being finally captured at that time.

An authorisation may appear as pending or reserved by the Buyer’s bank or payment provider.

An authorisation is not itself a guarantee that subsequent capture will succeed.

Payment processing is subject to the rules, technical systems, availability and requirements of the applicable payment provider, card network and issuing bank.

5. REACHING 100%

A GroupBuy reaching 100% means that all Buyers have collectively committed to satisfy the Seller’s Volume Size.

Reaching 100% initiates the GroupBuy completion process.

A displayed progress level of 100% does not by itself mean that every payment has been successfully captured.

Before final completion, AmeegoMarket may perform checks including:

  • payment status;
  • payment authorisation validity;
  • stock availability;
  • GroupBuy status;
  • Seller status;
  • fraud or risk checks; and
  • other technical or compliance checks reasonably necessary to complete the transaction.

6. PAYMENT CAPTURE

When the GroupBuy reaches 100%, AmeegoMarket or its payment provider will attempt to capture the payments associated with the participating orders.

The GroupBuy will not be treated as finally payment-complete until the required payment captures have successfully completed.

Payment capture may fail because of circumstances including:

  • insufficient funds;
  • card expiry;
  • card cancellation;
  • issuer decline;
  • authentication requirements;
  • payment-provider restrictions;
  • fraud or risk controls;
  • technical failures;
  • network failures; or
  • payment-provider outages.

7. PAYMENT PROVIDER OR TECHNICAL OUTAGES

Where payment capture cannot be completed because of a temporary technical problem, payment-provider outage, network failure or other temporary service interruption, AmeegoMarket may make reasonable further attempts to complete payment capture.

AmeegoMarket may keep the GroupBuy in a temporary processing state while determining whether payment capture can safely be retried.

AmeegoMarket does not guarantee that a payment provider, bank, card network or other third-party payment service will be continuously available.

We will not deliberately duplicate a successful payment capture.

Where the applicable payment authorisation has expired or cannot lawfully or technically be captured, AmeegoMarket may require a new payment authorisation or may cancel the affected transaction or GroupBuy.

8. FAILURE OF A PAYMENT WITHIN A COMPLETED GROUP

The GroupBuy model depends on the complete required Volume Size being supported by successful Buyer payments.

Accordingly, where one or more required payments cannot successfully be captured, the GroupBuy may no longer satisfy its completion requirements.

If a required payment is finally declined or otherwise cannot be successfully completed after any permitted retry or recovery process, AmeegoMarket may:

  • mark the affected payment as failed;
  • cancel the affected Buyer order;
  • cancel the GroupBuy;
  • cancel or void remaining uncaptured payment authorisations; and
  • refund payments that have already been captured from other participating Buyers.

This means that a payment failure affecting one required order may result in cancellation of the entire GroupBuy.

AmeegoMarket will notify affected Buyers and the Seller where reasonably practicable.

9. REFUNDS FOLLOWING GROUP PAYMENT FAILURE

Where a GroupBuy must be cancelled because a required payment fails after other participating payments have already been captured, AmeegoMarket will initiate refunds of the affected successfully captured Buyer payments.

Refunds will normally be returned through the original payment method, subject to payment-provider rules.

Payment providers may retain certain original payment-processing, currency-conversion, Connect, banking or other transaction costs even where a payment is subsequently refunded.

For any refunds, AmeegoMarket may deduct the applicable platform fee because this fee is applied for AmeegoMarket’s service and payment processing, including Stripe transaction fees and other processing costs.

10. STANDARD REFUNDS

Buyers requesting a standard refund must contact AmeegoMarket Support using the contact details in Section 28. Once an order is marked as Shipped, it can no longer be refunded through AmeegoMarket’s standard order-refund process. Buyers requiring a refund, return or other assistance after shipment must contact AmeegoMarket Support, which may facilitate communication with the Seller in accordance with Section 22. Any post-shipment refund or return remains subject to applicable law and any applicable Seller policy. This restriction does not exclude or limit any rights or remedies that cannot lawfully be excluded or limited. The platform-fee deduction provisions in Section 9 also apply to standard refunds, subject to applicable law.

11. GROUPBUY EXPIRY

If the GroupBuy does not reach 100% before the Group Timer reaches zero, the GroupBuy expires.

On expiry:

  • draft orders associated with the unsuccessful GroupBuy will be cancelled;
  • uncaptured payment authorisations will be cancelled, voided or allowed to expire as appropriate;
  • captured funds, if any were captured in error or under an applicable payment flow, will be handled in accordance with these Terms and applicable law; and
  • Buyers and the Seller may be notified.

AmeegoMarket may retain transaction records where required for accounting, fraud prevention, dispute resolution, regulatory compliance or legitimate business records.

12. INSTANT BUY

Where available, Instant Buy allows a Buyer to bypass the GroupBuy process and purchase the Seller’s complete offered Volume Size.

An Instant Buy does not require other Buyers to join.

The applicable Seller Offer, payment requirements, delivery terms and product conditions will apply to the Instant Buy.

Availability of Instant Buy may depend on current inventory and existing GroupBuy commitments.

13. SELLER FULFILMENT

Following a successful Handshake or Instant Buy, the Seller is responsible for fulfilling the order according to the Offer.

The Seller must provide accurate information regarding:

  • lead time;
  • estimated dispatch date;
  • estimated delivery time;
  • delivery method;
  • delivery charges;
  • delivery restrictions; and
  • tracking information where tracking is available or required.

Delivery may include, depending on the Offer:

  • parcel or box delivery;
  • courier;
  • pallet delivery;
  • road freight or lorry;
  • sea freight;
  • air freight; or
  • another lawful commercial delivery method.

Estimated delivery dates are estimates unless expressly stated as guaranteed by the Seller.

14. TRACKING

Where tracking is available for the delivery method selected by the Seller, the Seller must provide valid tracking information promptly after dispatch.

Tracking information may be displayed through AmeegoMarket or linked to a third-party carrier.

The Seller remains responsible for providing accurate dispatch and delivery information.

AmeegoMarket is not responsible for inaccuracies or outages in tracking information supplied by third-party carriers.

15. PRODUCT SUBMISSION AND VALIDATION

Products submitted by Sellers are subject to AmeegoMarket’s product onboarding and catalogue-validation requirements.

A product may not automatically become available merely because a Seller submits it.

AmeegoMarket may:

  • automatically validate product information;
  • request supporting information;
  • conduct manual review;
  • reject a product;
  • request amendments;
  • suspend a listing;
  • remove a product;
  • merge duplicate products;
  • correct catalogue classifications; or
  • request evidence demonstrating legal or regulatory compliance.

Approval by AmeegoMarket means only that the product has passed the Marketplace’s applicable listing process at that time.

Approval does not transfer the Seller’s legal responsibilities to AmeegoMarket or constitute a guarantee that the product complies with every law applicable to the Seller.

The Seller remains responsible for the legality, safety, authenticity, labelling, description and regulatory compliance of every product it offers.

16. GENERALLY ACCEPTED PRODUCT CATEGORIES

Subject to individual product validation and any additional category restrictions, AmeegoMarket may accept products within categories including:

  • Food and grocery;
  • Coffee beans and coffee products;
  • Tea and hot beverages;
  • Soft drinks and non-alcoholic beverages;
  • Spices, herbs and cooking ingredients;
  • Confectionery and snacks;
  • packaged and shelf-stable foods;
  • clothing and fashion;
  • jeans and other apparel;
  • footwear and trainers;
  • fashion accessories;
  • household goods;
  • cleaning products that are lawful and suitable for general commercial sale;
  • office and business supplies;
  • packaging and shipping supplies;
  • catering supplies;
  • hospitality supplies;
  • general retail supplies;
  • approved consumer electronics and accessories;
  • approved homeware; and
  • other lawful wholesale goods specifically approved by AmeegoMarket.

Inclusion of a category does not mean that every product within that category is automatically permitted.

Products remain subject to validation.

17. PROHIBITED AND RESTRICTED PRODUCTS

A Seller must not list any product that is unlawful to sell, possess, distribute, import, export or advertise in the relevant jurisdiction.

Unless AmeegoMarket expressly establishes an approved regulated-product programme for a category, the following are prohibited:

Alcohol and age-restricted intoxicating products

Including alcoholic beverages where applicable licensing and age-verification requirements cannot be supported by the Marketplace.

Tobacco and nicotine

Including cigarettes, cigars, tobacco, vaping products, e-cigarettes, nicotine liquids and nicotine products.

Controlled drugs and recreational drugs

Including illegal drugs, controlled substances and associated prohibited products.

Prescription medicines and regulated medicinal products

Including prescription-only medicines and medicinal products requiring authorisation or professional supervision that AmeegoMarket has not expressly approved.

Weapons

Including firearms, ammunition, explosives and other prohibited or regulated weapons.

Dangerous and explosive goods

Including explosives, fireworks and dangerous materials that cannot lawfully or safely be sold through the Marketplace.

Hazardous chemicals

Including controlled toxic substances, restricted pesticides, chemical precursors and other dangerous chemicals requiring regulatory controls that the Marketplace does not support.

Counterfeit goods

Including counterfeit, replica or unauthorised trademark goods presented in a manner that infringes intellectual-property rights.

Stolen goods

Including goods obtained unlawfully or where the Seller does not have lawful title or authority to sell.

Recalled or unsafe products

Including products subject to a safety recall, prohibition notice or other applicable product-safety restriction.

Illegal food products

Including food that cannot lawfully be sold, is unsafe, materially mislabelled, prohibited, expired where sale is unlawful, or fails applicable food-safety requirements.

Unapproved supplements and regulated health products

Including products containing unlawful, controlled, unauthorised or unsafe ingredients.

Gambling products and services

Where their sale or provision requires regulatory permissions not supported by AmeegoMarket.

Adult and sexually explicit products

Where AmeegoMarket has not expressly approved the relevant category.

Live animals and protected wildlife

Including protected species and products whose trade violates wildlife or conservation law.

Human remains or body parts

Including biological material whose commercial sale is prohibited or inappropriate for the Marketplace.

Sanctioned or embargoed goods

Including products whose sale, supply, import or export would breach applicable sanctions or trade restrictions.

Illegal surveillance or circumvention devices

Including products primarily intended for unlawful interception, unauthorised surveillance or circumvention of legal controls.

Other regulated products

Any product requiring a licence, authorisation, registration, professional qualification, age verification, specialist transport or regulatory process that AmeegoMarket does not currently support.

AmeegoMarket may maintain more detailed Product Guidelines in addition to these Terms.

18. SELLER WARRANTIES

Each Seller represents and warrants that:

  • it has authority to sell the goods;
  • the goods are genuine;
  • descriptions are accurate;
  • quantities are accurate;
  • pricing is accurate;
  • required licences and permissions are held;
  • goods comply with applicable product-safety requirements;
  • required labels, warnings and instructions are supplied;
  • intellectual-property rights are respected;
  • products are not prohibited by these Terms;
  • inventory information is accurate;
  • delivery information is reasonable and accurate; and
  • it will fulfil successfully completed orders according to its Offer.

19. PRODUCT REMOVAL

AmeegoMarket may immediately suspend or remove a product where we reasonably believe that it:

  • is unlawful;
  • is unsafe;
  • has been recalled;
  • infringes intellectual-property rights;
  • breaches these Terms;
  • breaches our Product Guidelines;
  • contains misleading information;
  • requires unsupported regulatory controls; or
  • creates a material risk to Buyers, Sellers, AmeegoMarket or the public.

Where appropriate, AmeegoMarket may suspend the Seller account and cooperate with regulators, law-enforcement agencies, payment providers or other competent authorities.

20. PRICES, FEES AND TAXES

Prices displayed on AmeegoMarket are based on information supplied through the Marketplace.

The applicable checkout page should identify material charges before a Buyer commits to a transaction.

Sellers are responsible for their tax obligations unless applicable law or Marketplace functionality expressly provides otherwise.

AmeegoMarket charges a platform fee, which includes Stripe transaction fees and other service and processing costs. This platform fee will be included in the total price payable at checkout where applicable.

21. CANCELLATIONS

Because a GroupBuy relies on multiple business commitments collectively reaching the Seller’s Volume Size, a Buyer may not have an unrestricted right to withdraw from a GroupBuy after making a binding business commitment.

Any cancellation rights will depend on:

  • the status of the GroupBuy;
  • applicable law;
  • these Terms;
  • the Seller’s Offer; and
  • any cancellation policy displayed before checkout.

22. DISPUTES BETWEEN BUYERS AND SELLERS

Buyers should promptly notify the Seller and AmeegoMarket of material issues involving:

  • missing goods;
  • damaged goods;
  • materially incorrect quantities;
  • incorrect products;
  • non-delivery;
  • counterfeit goods;
  • unsafe goods; or
  • material differences between the goods delivered and the Offer.

AmeegoMarket may facilitate communications and dispute handling but does not automatically assume the Seller’s obligations merely by facilitating the transaction.

23. MARKETPLACE AVAILABILITY

We aim to provide a reliable Marketplace but cannot guarantee uninterrupted availability.

The Marketplace may occasionally be unavailable because of:

  • maintenance;
  • software failures;
  • hosting failures;
  • payment-provider outages;
  • carrier integrations;
  • cyber incidents;
  • telecommunications failures; or
  • circumstances outside our reasonable control.

We may temporarily suspend functions where necessary to protect Marketplace integrity, payments, Users or data.

24. LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability that cannot lawfully be excluded for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to applicable law, AmeegoMarket is not responsible for losses caused solely by matters outside its reasonable control, including Seller fulfilment failures or third-party service outages, except to the extent AmeegoMarket itself is legally responsible.

Any further limitation of liability applicable to business Users should be stated transparently and must satisfy applicable legal requirements.

25. SUSPENSION AND TERMINATION

AmeegoMarket may suspend or terminate an account where reasonably necessary because of:

  • material breach of these Terms;
  • fraudulent activity;
  • repeated payment failures;
  • prohibited products;
  • regulatory requirements;
  • misuse of the Marketplace;
  • risk to other Users; or
  • unlawful activity.

Termination does not extinguish obligations arising from transactions already completed unless otherwise required by law.

26. CHANGES TO THESE TERMS

AmeegoMarket may update these Terms as the Marketplace develops or where required by law, regulation, payment-provider requirements or operational changes.

Material changes will take effect in accordance with applicable law and any notice requirements.

Changes will not retrospectively rewrite a completed GroupBuy transaction except where required by law.

27. GOVERNING LAW AND JURISDICTION

These Terms and any non-contractual obligations arising from them are governed by the laws of England and Wales, unless mandatory law requires otherwise.

Subject to applicable mandatory rights, the courts of England and Wales shall have jurisdiction over disputes arising from these Terms.
